TERMS AND CONDITIONS

1.0 Definitions

1.1

In these terms and conditions, the following expressions shall have the following meanings, unless the context otherwise requires:

"Account"	means the KENDRA LIFE REWARDS membership account.
"KLSB"	means KENDRA Life Sdn Bhd (Company Registration No.: 201901014979 (1324307-W)) and shall include all its agents, appointees and/or representatives, whichever applicable.
"Kendra Life Community"	means activity where Qualifying Transactions with which Points will be earned and/or special privileges, promotions and benefits used, if any, and/or with which Points can be redeemed, under Kendra Life Rewards.
"Kendra Life Rewards"	means the Kendra Life Rewards run and managed by KLSB.
"Membership"	means those arrangements under the Kendra Life Rewards membership specified by KLSB by which you agree to participate in Kendra Life Rewards and receives Points by purchasing Qualifying Items and so qualifies for qualifying Redemption Items under these Terms & Conditions.
"Points"	means all points earned by means of the Qualifying Transactions of Kendra Life Rewards.
"Qualifying Items"	means all activities dealt with KLSB and/or related parties subject only to the items which are designated and/or specified by KLSB as suitable for Qualifying Transactions. KLSB reserves the right to amend the list of Qualifying Items at any time without prior notice to you.
"Qualifying Redemptions"	means all Points that can be redeemed by you, in accordance to these Terms & Conditions.
"Qualifying Transactions"	means all transactions, as specified by KLSB, at its own discretion that qualifies you for the accumulation of Points. This shall also represent all forms of special privileges, promotions and benefits afforded to you under Kendra Life Rewards, if any.
"Redemptions Channels"	means redemption methods through WhatsApp and/or your email or any other channels defined by KLSB for the purpose of Points redemption.
"Redemption Items"	means the items offered to you in exchange for the sufficient number of Points. KLSB reserves the right to amend the list of Redemption Items at any time without prior notice to you.
"Terms & Conditions"	means these terms titled Terms & Conditions and/or any other terms and conditions, policies and procedures as may be imposed, published, varied or modified by KLSB in accordance to these Terms & Conditions.
"Website"	means the internet site at https://www.kendra-life.com.my/ and/or any other website as designed by KLSB from time to time with prior notice to you.
"You" or "Your"	means any member accepted by KLSB for Kendra Life Rewards membership, unless otherwise specified, which includes but not limited to natural person, a sole proprietorship, a partnership, a body corporate or otherwise governmental bodies and agencies of any kind established under the laws, rules and/or regulations of its domicile for the time being in force and which may come in force subject to the Terms & Conditions herein.

2.0 Membership Account

2.1

You are entitled to one (1) Membership only and you are responsible for the registration of Membership via the Website and/or mobile Apps.

2.2

Membership will commence upon the first time you purchase from KLSB and earn Points. Points are not transferable and shall not be assigned to any other party. Points, and any rights they confer, cannot be sold, transferred, assigned or otherwise dealt with except in accordance with these Terms & Conditions.

2.3

You are responsible for the timely and accurate updating of all personal information. KLSB shall not be responsible for any loss or damages resulting from inaccurate, incomplete, and insufficient information on you. KLSB shall also not be responsible for any loss of data or information or for any loss that may occur to you in the event of failure of KLSB database system or for any other reason whatsoever.

3.0 Qualifying Transactions

3.1

You are required to sign up and activating your Membership via Website or any other designated platform by KLSB to be entitled to collect Points for their Qualifying Transactions.

3.2

You will be awarded point(s), at sole discretion of KLSB, on per item purchase of every RM10.00 worth of Qualifying Items. Points are awarded to you accordingly based on completed and successful Qualifying Transactions only. KLSB may, from time to time, at its sole discretion, without prior notice whatsoever, amend or change any transactions that qualify as a Qualifying Transaction. Notwithstanding anything to the contrary, the collection of Point shall commence on 1st March 2025 or any other date that shall be notified by KLSB whichever being the later.

3.3

The Points issued will only become valid when notification of the issuance of such Points has been received and recorded by KLSB in the relevant Account. KLSB shall credit into the Account with the Points such notification of a successful transaction of Qualifying Items. KLSB will not be responsible for the delay or failure of any transactions may be subject to interruption, transmission blackout, delayed transmission and incorrect data transmission in giving notification to KLSB of the Points awarded to you.

3.4

KLSB reserves the right to delay the recording of Points to the Account until it has been confirmed that the Points were properly issued or awarded, in accordance with these Terms & Conditions. KLSB is not liable for any delay or error in the details of the Account, including its accumulation of Points.

3.5

KLSB reserves the right not to record such Points where such confirmation cannot be obtained. Should such Points have already been recorded, KLSB reserves the right to deduct the Points from the Account.

3.6

KLSB reserves the right, at its own discretion, within reasonable means and belief, to classify selected Qualifying Transactions as fraudulent transactions until proven otherwise.

3.7

Should the Qualifying Transaction be null and void or a reversal be conducted, whether immediately or at a later time, or should you receive a refund from the Qualifying Transaction, the Points earned with respect to such transactions will be deducted from the Account without any notification to you.

3.8

You can check your available accumulated Points via the Website OR mobile Apps by logging in your Account.

3.9

The outstanding balance of Points as recorded in your Account maintained by KLSB will be deemed correct. If you believe that there is an error in your account records, you must inform KLSB in writing via email at concierge@kendra-life.com.my or WhatsApp at +6019-9915668 within fourteen (14) days from the date when the relevant account details were provided to you by KLSB, failing to do so means you have accepted the account status.

4.0 Qualifying Redemption

4.1

Once you have achieved sufficient Points, you are eligible and entitled for Qualifying Redemption at Redemption Channels, as illustrated in the following example (the Qualifying Redemption Points may change from time to time at the sole discretion of KLSB without prior notice):

4.2

You shall redeem the Qualifying Redemptions for Redemption Items within sixty (60) days from the date of such notification, failing on the part of you to do so for any reasons whatsoever may result in the lapse of redeeming the Redemption Items. No extension of time shall be entertained.

4.3

The Points may be redeemed through the Redemption Channels and/or any such other particulars channel as may be required by KLSB and/or any other methods which may be introduced by KLSB from time to time.

4.4

Only completed Qualifying Redemption request would be assessed by KLSB and such request will be processed upon verification by KLSB that you are entitled to redeem the Redemption Items.

4.5

KLSB shall post out the Redemption Items within twenty-one (21) working days from the date of successful Qualifying Redemption request by you via courier delivery or any other method KLSB deems fit. KLSB shall be under no liability should the delivery not be made on or within a reasonable period of such date due to circumstances outside of KLSB control and shall not be responsible for the Redemption Items which may be lost in post. All Redemption Items received by you may not be exchanged, revoked, cancelled, returned, or refunded, unless stated otherwise in these Terms & Conditions.

4.6

Where applicable, you are advised to examine the Redemption Items as soon as it is received. If the Redemption Items received is damaged or defective in any way (hereinafter known as "Defective Redemption Items"), KLSB reserves the right, where applicable, to either replace with a similar item or with any other item that KLSB deems fit. Any notice of a Defective Redemption Items must be made to KLSB in writing via email at concierge@kendra-life.com.my or WhatsApp at +6019-9915668 within seven (7) days from the date of the Defective Redemption Items is received (hereinafter known as "Return Request"), failing which any such complain and/or replacement will not be entertained. The Defective Redemption Items shall be returned to KLSB within fourteen (14) days of Return Request, which the necessary cost incidental for the returning of such Defective Redemption Items shall be borne by you. Defective Redemption Items sent back to KLSB without first requesting a return will not be accepted. KLSB, however, reserves the right for final decision to refuse any exchange.

4.7

Notwithstanding clause 4.6 above, Return Request shall not be applicable for redemption item.

4.8

Exchange can only be made one (1) time per redemption. Any Redemption Item which has been exchanged will not be processed.

4.9

Upon making a Qualifying Redemption request via the Redemption Channels, your number of Points shall remain and shall not be deducted. The balance of Points in your Account will continue to be valid and may be used to redeem further Redemption Items, subject to these Terms & Conditions.

4.10

KLSB shall, from time to time, at its own discretion, within reasonable means, amend and revise the number of Points required for a Qualifying Redemption without prior notice to you.

4.11

Unless otherwise stated in these Terms & Conditions, all Redemption Items are non-exchangeable.

4.12

For Redemption Items that carry a warranty from its manufacturer, KLSB makes no product representations or warranties, expressed or implied, and disclaims any and all liabilities, as to the condition, quality, merchantability or fitness for use of the products and/or services provided via this Kendra Life Rewards. KLSB will not be responsible for any loss or injury suffered by you and/or third parties in connection with the use of such items.

4.13

KLSB reserves the right to refuse the Qualifying Redemption of any Redemption Items or recalls the Redemption Items should KLSB have any reason to suspect that the Points were fraudulently accumulated by you or wrongly recorded.

5.0 Suspension and Termination of Account

5.1

KLSB shall be entitled to immediately suspend or terminate your Account (or any part thereof) or take any necessary action KLSB may deem fit, with or without any notice to you, upon the happening of any of the following events:-

5.1.1

if in the opinion of KLSB, there is dishonesty, suspected fraud, abuse, not used in good faith, not use as intended, illegality, criminality or misrepresentation in the conduct of your Account;

5.1.2

if you are in breach or KLSB have reasonable grounds to believe that you have breached any of the provisions of these Terms & Conditions and/or have engaged in any conduct prejudicial to KLSB or if in the opinion of KLSB, your acts are prejudicial to KLSB's interest; and

5.1.3

if you are in breach of any acts, statutes, laws, by-laws, rules and/or regulations imposed by any party, regulatory body or government agency.

5.2

KLSB reserves the right to suspend indefinitely the Account, your number of Points, all accompanying Qualifying Transactions and Qualifying Redemptions, if it is of the reasonable opinion that sufficient and accurate data and/or personal data have not been provided by you.

5.3

Upon termination, all accumulated and remaining Points shall become void and irredeemable for Redemption Items. You are no longer able to qualify for any Qualifying Transactions. KLSB shall not in any way be liable to reimburse you any damages, cost, loss or expenses suffered as a result of the suspension and/or termination of the Account.

6.0 Limitations & Exclusions of liability

6.1

You expressly waive any rights or claims of liability against Kendra Life Rewards and/or KLSB and/or any of KLSB employees and/or representatives for any products or services provided under Kendra Life Rewards. KLSB and/or KLSB respective employees, and/or representatives shall not be liable to you or any other party for any loss or damage of whatsoever nature suffered by you as a result of Kendra Life Rewards, participation or non-participation in Kendra Life Rewards or as a result of any act or omission on the part of KLSB and/or KLSB respective employees, and/or agents in connection with Kendra Life Rewards. To the full extent permitted by applicable law, KLSB and/or KLSB respective employees and/or representatives shall not be liable for any indirect, consequential, incidental, special or punitive damages, including damages for loss of profits or revenues, business interruption or loss of business opportunities, arising from your participation in this Kendra Life Rewards.

6.2

Without limiting the generality of any provision in these Terms & Conditions, KLSB shall not be liable for any failure to perform its obligations herein caused by, including but not limited to an act of God, insurrection or civil disorder, military operations or act of terrorism, all emergency, acts or omission of Government, or any competent authority, labour trouble or industrial disputes of any kind, fire, lightning, subsidence, explosion, floods, acts or omission of persons or bodies for whom KLSB has no control over or any cause outside KLSB's reasonable control.

6.3

KLSB assume no responsibility for any technical failure and/or any system malfunction and/or permanent loss of the database system and Points database due to malicious activities including but not limited to war, sabotage, and/or attacks to KLSB / Kendra Life Community data centre and/or any unfortunate events such as natural disasters affecting the system, and/or database system and/or Points database.

7.0 Personal Data Policy

7.1

You shall ensure that all personal data provided to KLSB are accurate at the point of submission and that KLSB is kept updated of any changes to such personal data. You warrant and agree that you have given us your consent that any and all personal data provided by you to KLSB shall be held in a database system managed by KLSB and/or persons authorized by KLSB.

7.2

You acknowledge that KLSB is and/or may be required to share your personal data to its subsidiaries, other related corporations, to facilitate redemptions and provision of other services and benefits to you. By accepting, agreeing and using Kendra Life Rewards, you have herein unconditionally and irrevocably given consent to allow KLSB and/or its holding companies, subsidiaries, associates or related corporations to use, process, disclose, transfer or to deal with the your personal data (if any) in whatever manner and for whatever purposes as provided for in the Personal Data Protection Act 2010 or for the purposes of disclosure under the applicable laws or any court order or other governmental or regulatory bodies requirement.

7.3

You further acknowledge and confirm that all the information provided to KLSB whether verbally or in writing, are true, accurate and complete in all aspects.

7.4

By accepting and agreeing to these Terms & Conditions, participating in this Kendra Life Rewards, you further agree and consent for KLSB and/or its respective holding companies, subsidiaries, associates, agents, or related corporations to use, process, disclose, transfer and/or to deal with your personal data, whether in electronic or other form and whether provided orally or in writing to KLSB including but not limited to such personal data as are provided in the application form and any changes thereto, and any other personal, financial or sensitive personal data as KLSB deems appropriate for the purposes stated in the notice given by KLSB pursuant to the Personal Data Protection Act, 2010 as provided in Privacy Policy.

8.0 General

8.1

Kendra Life Rewards is open to all who are at least 18 years of age and, for Malaysian citizens, have a valid Malaysian Identification Card or, for non-Malaysian citizens, a valid Passport Number. KLSB shall at its own sole discretion, refuse Membership to you, without prior notice.

8.2

KLSB reserves the right to amend these Terms & Conditions, the Qualifying Items, the Qualifying Transactions, the Qualifying Redemptions and the Redemption Items at any time without prior notice to you. KLSB may also change, at any time and without prior notice, the number of Points which you will receive for purchasing from Kendra Life Community. By continuing to log in, access, use and purchase from Kendra Life Community, you are deemed to agree to any revision by KLSB to these Terms & Conditions. You are advised to regularly access the latest Terms & Conditions at the location designated by KLSB.

8.3

Membership in this Kendra Life Rewards and all related benefits are offered at the sole discretion of KLSB. KLSB reserves the rights, from time to time, to restrict, suspend or otherwise alter aspects of these Terms & Conditions with or without notice to you, which changes may affect the value of the Points already accumulated.

8.4

KLSB will endeavor to ensure that the information supplied to you is correct. However, KLSB will not be held liable for any inaccuracy or erroneous description or information on Kendra Life Rewards and these Terms & Conditions.

8.5

KLSB is the final authority as to the interpretation of these Terms & Conditions and as to any other questions or disputes regarding Kendra Life Rewards. KLSB reserves the right to amend the list of Qualifying Items at any time without prior notice to you.

8.6

KLSB may also modify, suspend, or terminate Kendra Life Rewards or replace it with another program at any time. KLSB will notify any such change to you either via e-mail, Website and/or any other media KLSB deemed fit.

8.7

These Terms & Conditions are governed by and shall be construed in accordance with the laws of Malaysia. You hereby expressly submit to the non-exclusive jurisdiction of the courts of Malaysia and agree to comply with all applicable laws and regulations.
